Mrs. Stacey, the plaintiff, had operated a small dry cleaning business in Pine Bluff for about twelve years. She had accumulated a small amount of money which she wished to put into a profitable business. In March 1960 she met the defendant Allen, a salesman and equipment dealer, at a farmers’ meeting near Gravette. Allen was living in Howard County, about thirty miles away, and he was operating a service station at Ashdown, a town about twenty-five miles away. He said that he was “out of the cleaning business.” He proposed to finance the purchase of Mrs. Stacey’s business and to operate it as a car wash, repairing and servicing both automobiles and motorcycles. The terms of the proposed contract were that Mrs. Stacey would put up her money in cash, furnish the equipment, and pay Allen a commission of 10 per cent of the gross income.
